Group Legal Counsel and Chief Compliance Officer

Summary

In this role you will be directly reporting to the CEO and be responsible for advising the Board of Directors, the Executive and Management Teams and managing all legal and compliance matters facing an international organization, in particular but not limited to:

  • Reviewing large business contracts in cooperation with Business Units and local lawyers
  • Providing strategic legal advice
  • Advising on corporate governance and minimizing legal exposure
  • Ensuring IP and Trademarks are protected
  • Manage group insurance contracts
  • Ensuring that all employees of the Group are in a position to act in compliance with all relevant rules and regulations

Main Tasks & Key Responsibilities

  • Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal implications
  • Prepare and hold trainings in legal and compliance to the group
  • Serve as key lawyer/legal advisor on all business and functional matters
  • Set internal governance policies and manages the impact of external factors
  • Anticipate issues and estimate risks strategically
  • Ensure that Intellectual Properties are patented and Company’s rights are protected
  • Judge the merits of major court cases filed against or on behalf of the company, work with 
the appropriateexecutive(s) to define a strategic defense and recommend settlements of 
disputes where warranted
  • Assume ultimate responsibility for ensuring that the company conducts its business in 
compliance with applicable laws and regulations
  • Managing lawsuits
  • Oversee the selection, retention, management and evaluation of all outside counsel
  • Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
  • Collaborate with executive colleagues to implement policies and develop improvements
  • Provide expert and strategic legal advice to management
  • Make sure that high level secrecy and privacy for all legal data is maintained for the organisation
  • Keep track of the latest changes and law regulations

Key Qualifications

  • Swiss, German, US or UK law degree, MBA desired
  • Minimum 10 years of work experience handling legal and compliance matters in an international business
  • Experience working on matters of corporate governance and with a board of directors
  • Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources
  • Experience in directing strategy and managing complex litigation cases
  • Solid understanding of business and support functions
  • Knowledge of relevant international laws and regulations
  • Fluency in English (both spoken and written)
