As a result of the rapid growth of a global publicly-traded, commercial-stage Pharma company a Legal Counsel and an Associate Director, Compliance and Privacy role are newly created. Both positions will be based at the company’s EMEA HQ based in the Zurich Area.
After 3 to 5 years of experience in the Corporate and Commercial team of a renowned law firm, this could be the ideal moment to consider a move into an in-house role. In collaboration with the newly hired AD Compliance and Privacy, you will be responsible to build the legal and compliance function of the EMEA Headquarters of this US-based Pharma Company.
In this role, you will be serving as a legal liaison for Swiss legal matters, review a high volume of various agreements in Switzerland, assist the management of Switzerland and the EU on corporate governance matters and provide support to the general legal needs of the company.
Key Responsibilities
- Providing advice and counsel on contractual, corporate governance and other legal matters
- Managing legal business matters pertaining to the organization
- Providing a variety of general corporate and commercial legal services to a number of in-house clients, demonstrating experience in general corporate matters, including corporate organization, drafting transactional documents, license agreements, employment law, data privacy, and contract management
- HR support – assist the company’s HR group, in Switzerland, with employment and labor matters
- Contract Review – preparing, negotiating and reviewing a wide variety of contracts including commercial agreements, supply chain and distribution agreements, research and development agreements, including clinical trial agreements, consulting agreements, software licenses, confidentiality agreements, product design, and manufacturing agreements, distributor agreements, etc.
- Swiss Corporate Governance – assisting with various aspects of corporate secretarial work
- Working with external legal counsel
Key Qualifications
- Law degree and Swiss bar admission
- 3-5 years of relevant legal experience as a corporate/commercial attorney, preferably in a midsize to a large law firm or other relevant in-house experience
- Strong collaboration skills
- Must work confidently, proactively and assertively with a high level of independence
- Good judgment, ability to adapt and change in a shifting environment
- It is expected that the Legal Counsel may travel (up to 15% of the time) primarily between the company’s offices in Switzerland to other locations within the EU to perform effectively the duties of the position
- Fluent in English
