In this newly created role, you will be part of a global legal team of 30 lawyers and will be reporting directly to the General Counsel. You will be the first In-house Counsel to be based in Switzerland.

Key Responsibilities

  • Effectively and efficiently handle legal and compliance, particularly prerequisites of listing rules of SIX Swiss Exchange, ongoing compliance requirements to maintain listing- disclosure, reporting, notification, and corporate governance
  • Provide and coordinate the internal legal support for debt financing transactions with banks and capital markets funding
  • Provide and coordinate the internal legal support for M&A transactions
  • Handle and manage the following areas pertaining to the company in Europe

Key Qualifications

  • Swiss or equivalent European law degree
  • Well versed with the SIX Exchange Regulations, the SIX Directive on Information relating to Corporate Governance (DCG), Swiss Ordinance against Excessive Compensation in Listed Companies (OAEC), Swiss Code of Best Practice for Corporate Governance
  • Minimum 8 years of professional experience gained in the corporate sector and/or legal/consulting firms
  • In-depth knowledge of corporate and commercial laws, capital markets, and listing, financing, mergers & acquisitions
  • Fluent in English and ideally in German
